NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES

This promotion is not open to the general public and is restricted to trade. Do not participate if you do not meet the eligibility criteria as set forth in the Eligibility section below. By participating in The Grimco Grand Prix (the “Promotion”), you and your eligible place of employment, as defined below, unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Grimco, Inc. (the “Sponsor”), which shall be final and binding in all respects. The Promotion is subject to all applicable federal, state and local laws and regulations.

PROMOTION PERIOD: The Promotion begins at 12:00:01 AM Central Time (“CDT”) on Tuesday, July 18. 2023, and ends at 11:59:59 PM ET on Monday, July 31, 2023, (the “Promotion Period”). Sponsor’s computer is the official timekeeping device for this Sweepstakes.

ELIGIBILITY: Restricted to Trade. This Promotion is not open to the general public. The Promotion is only open to businesses and organizations with a use for sign supplies and sign printing equipment that are located in the 50 United States and the District of Columbia. (“Eligible Businesses”). Entries must be submitted by an owner, officer, or employee of an Eligible Business (the “Representative”) who is a legal resident of the 50 United States, including the District of Columbia, and age 21 or older. The Promotion is void in Puerto Rico, Guam, the U.S. Virgin Islands, outside the United States, and wherever else prohibited by law. Employees, officers, directors and agents of Sponsor, 3M Company, and companies involved in the design, implementation and execution of Promotion and their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies (collectively, “Released Parties”) and their immediate family members (mother, father, sister, brother, husband, wife, daughter, son, step-father, step-mother, step-daughter, step-son, step-brother, step-sister, half-brother, and half-sister and spouses of each) and/or those living in the same household of each, are not eligible to enter, participate or win a prize. Sponsor reserves the right to verify eligibility of winners. 

Representatives must have authority to participate in the Promotion or have obtained such authority from an employer or a co-worker with the power to grant such authority within the Eligible Business, prior to participation in the Promotion. By entering, each Representative acknowledges and agrees that his/her participation in the Promotion may be subject to, or prohibited or restricted by, his/her employer’s policies and regulations and that the Representative is solely responsible for review of, and compliance with, any such policies or regulations of his/her employer.

ENTRY: 

HOW TO ENTER: There are two (2) ways to enter this Sweepstakes.  The information you provide will be used, in accordance with 3M’s Privacy Policy for the purposes of Sweepstakes administration and may be used for advertising and trade.

1. During the Promotion Period eligible Entrants have the opportunity to enter this Sweepstakes by July 31. (“Entry”).

   Entries will be automatically included upon purchase. Each order containing a minimum of $500 (pre-tax) of 3M branded products is eligible for entry. For every $500 in 3M products purchased per order, eligible businesses will receive one entry. For example, an order of $535 will count as one (1) entry. An order of $1,534 in 3M products will count as three (3) entries. Multiple orders cannot be combined to earn an entry. 

   Sponsor reserves the right to employ additional promotional methods to give additional entries throughout the promotional period, including enabling certain SKU purchase amounts to count as double or triple the standard promotional entry awarding. 

2. During the Promotion Period, eligible Entrants who wish to enter the Sweepstakes without {example - completing a pattern review} can do the following: on a plain piece of 3” x 5” paper, hand print your complete name, street address (no P.O. Boxes please), city, state, ZIP code, birth year, e-mail address, plus daytime and evening telephone number (“Entry”). Mail Entry in a hand-addressed, business-size (#10) envelope with first class postage affixed to: Grimco Grand Prix, c/o {11745 Sappington Barracks Road
   Sunset Hills, MO 63127; Division will need to validate eligibility}.  Each Entry must be postmarked by 10 days after July 31.  Unreadable or incomplete Entries will not be processed and will not be returned to the sender.  They will be considered voided.  Entries generated by script, macro or other automated means or by any means which subvert the entry process are void.  All entries become the property of Sponsor and will not be acknowledged or returned. 

PRIZES/APPROXIMATE RETAIL VALUE (“ARV”)/ODDS: 

There are Twenty Two (23) prizes available to be won as listed below. The total maximum ARV of all prizes available to be won is $59,500. Limit: One (1) prize per Eligible Business location. If more than one (1) Representative from an Eligible Business at the same business location is determined to be a potential winner, the Eligible Business is only eligible to receive the first prize awarded and recorded, and all other prizes and winning game plays/entries will be void. Odds of winning a prize are dependent on the number of participants in the Promotion and the time and order in which any participant’s entry is submitted and recorded. The number of prizes available will diminish as they are awarded.

Prizes To Be Awarded:

• One (1) $25,000 Grimco Credit for Future Purchases – some limitations may apply on usage of this credit dependent on vendor contracts, promotional restrictions, etc. and is at the discretion of the Grimco team to limit the usage of this credit for certain items. 
• One (1) 3M Training Course at Eligible Business valued at $12,000. Training will be scheduled in the next 12 months and is subject to 3M’s training availability and current course offerings. 
• Ten (10) consulting prizes each worth the (10) hours of time provided by Grimco employees or partners. Estimated value is $1,500 per prize. 
• Ten (10) $250 Grimco Credits for Future Purchases. Some limitations may apply on usage of this credit dependent on vendor contracts, promotional restrictions, etc. and is at the discretion of the Grimco team to limit the usage of this credit for certain items.
• Bonus prize to SEMA will be randomly chosen from all 2080 purchases over $500 on July 24, 2023. One entry per customer. Prize will be drawn on July 25, 2023 - all other Grimco Grand Prix rules and conditions apply.  Estimated SEMA trip prize value is $5,000 USD. 

PRIZE SELECTION & NOTIFICATION: 

Entries will be exported from the Grimco sales software, and winners will be selected using a random number generator. Prizes will be awarded throughout the promotional period and at the end of the promotional period at the discretion of the Sponsor.

To claim your Prize: If your business of employment is verified as an Eligible Business, you will receive an email addressed to the primary Grimco account contact within five (5) days of your potential win with instructions on how to claim your Prize (the “Prize Claim Email”). Follow the instructions within the Prize Claim Email to download the Prize Claim Forms, including an Affidavit of Eligibility, a Liability Waiver, a Publicity Release, and an IRS W-9 Form (collectively, the “Prize Claim Forms”). The owner or an employee of the Eligible Business with the authority to accept a prize on behalf of the Eligible Business must follow the instructions to send the completed Prize Claim Forms to Grimco within seven (7) days of when the Prize Claim Email is sent. IMPORTANT: The IRS W-9 Form will require including an Employer Identification Number for the sole purpose of tax reporting, as required by law. Winners of the $250 Grimco Credit do not need to complete or return the IRS W-9 Form or provide an Employer Identification Number.

All current Grimco customer accounts must be in good financial standing to claim a prize. 

Failure to comply with the prize claim instructions will result in disqualification, and the prize will be void. Once eligibility and Prize Claim Forms are verified, the prize will be awarded within 60 days. In the event that a prize notification or a prize is returned as undeliverable, or if a potential prize winner is found to be ineligible or is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner selected by a random drawing from among all remaining eligible entries. Only one (1) alternate drawing will be held, after which any remaining prizes will remain un-awarded.

ALL POTENTIAL PRIZE WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. A PARTICIPANT WILL NOT BE CONSIDERED A WINNER OF ANY INSTANT WIN PRIZE UNLESS AND UNTIL PARTICIPANT’S ELIGIBILITY HAS BEEN VERIFIED.

PRIZE CONDITIONS: Limit one (1) prize per Eligible Business location. Prizes are not redeemable for cash, are not assignable or transferable, and may not be substituted, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value at its discretion. Any incidental expenses on prizes not specified herein are the winner’s sole responsibility.

Sponsor will not replace any lost or stolen prizes or components of a prize. Only the number of prizes stated in these Official Rules is available to be won in the Promotion. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, winners will be determined in a random drawing from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available.

Each merchandise prize shall be subject to its manufacturer’s standard warranty. No returns of prizes will be accepted unless the equipment is physically defective, in the Sponsor’s sole discretion, at the time of prize award.

Winners are responsible for all federal, state, local and income taxes associated with winning prize.

Except where prohibited by law, and subject to the Privacy provision of these rules, entry and acceptance of a prize constitute permission to use winner's business name, Representative’s name, prize won, hometown, likeness, video, photographs, and statements for purposes of advertising, promotion, and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.

GENERAL: Participating Eligible Businesses and Representatives agree to these Official Rules and the decisions of the Sponsor and release the Sponsor and Released Parties from all claims and liability relating to their participation in the promotion, and the acceptance and use/misuse of the prizes offered. Participants assume all liability for, and Released Parties shall be held harmless against, any liability for any injury, losses or damages of any kind to persons and businesses, including personal injury or death, or injury to property caused or claimed to be caused in whole or in part, directly or indirectly, by participation in this Promotion, acceptance, possession, or use/misuse of the prize, or any claims based on publicity rights, defamation or invasion of privacy, or merchandise delivery. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Promotion, or in the announcement of prizes.

The Released Parties are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the Promotion. By participating in the Promotion, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Promotion. Failure to comply with these official rules may result in disqualification from the Promotion.

Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor. If, for any reason, the Promotion cannot be run as planned, Sponsor may disqualify any suspect entries or individuals from the Promotion and any promotions it sponsors and (a) suspend the Promotion and modify the Promotion to address the impairment, then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; and/or (b) award the prizes at random from among the eligible, non-suspect entries received up to the time of the impairment.

THE RELEASED PARTIES ARE NOT RESPONSIBLE IF THIS PROMOTION CANNOT BE ADMINISTERED OR CONDUCTED OR ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS RESULTING OR ARISING FROM ACTS OF GOD, WAR, OR TERRORISM, CIVIL UNREST, STRIKES, SUPPLY SHORTAGES, NATURAL DISASTERS, WEATHER, EPIDEMICS, COMPLIANCE WITH ANY LAW OR ORDER OF A GOVERNMENTAL AUTHORITY, OR ANY OTHER SIMILAR ACT, EVENT, OR OCCURRENCE BEYOND THE REASONABLE CONTROL OF THE SPONSOR. BY PARTICIPATING IN THIS PROMOTION, PARTICIPANT AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS PROMOTION OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE, AS APPLICABLE. FURTHER, SPONSOR SHALL NOT BE RESPONSIBLE FOR ANY CANCELLATIONS, DELAYS, DIVERSIONS, CHANGES IN SERVICE OR ACCOMMODATIONS OR SUBSTITUTIONS, OR FOR ANY ACTS OR OMISSIONS BY ANY THIRD PARTIES BEYOND ITS REASONABLE CONTROL, INCLUDING AIR CARRIER(S) AND OTHER TRANSPORTATION COMPANIES; LODGING, RESTAURANT OR OTHER HOSPITALITY PROVIDERS; ENTERTAINMENT PROVIDERS, VENUES OR ARTISTS; OR OTHER THIRD PARTY PROVIDERS SUPPLYING ANY SERVICES OR COMPONENTS OF THE PRIZE(S) TO WINNERS AND/OR THEIR GUESTS, OR FOR ANY RESULTING INJURIES, INCLUDING MONEY DAMAGES, COSTS AND EXPENSES, PROPERTY DAMAGES, PERSONAL INJURIES, OR DEATH RESULTING THEREFROM.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEB SITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Missouri, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE PROMOTION, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

DISPUTES: The parties hereto each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in St. Louis County, Missouri, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in St. Louis County, Missouri. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply, and the dispute must be brought in a court of competent jurisdiction in St. Louis County, Missouri. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

PRIVACY: As a condition of entering the Promotion, each participant gives consent for Sponsor to obtain and deliver his or her name, address and other information to third parties for the purpose of administering this Promotion, and to comply with applicable laws, regulations and rules, including, without limitation, the storing of your personal information for purposes of complying with state record retention requirements. Any information entrant provides to Sponsor may be used to communicate with entrant in relation to this Promotion or on a Promotion winner’s list. Personal information collected from entrants are subject to the Sponsor’s Privacy Policy, which can be found at https://www.grimco.com/info/PrivacyPolicy and Privacy policy | Grimco.
