ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

This promotion is not open to the general public and is restricted to trade. Do not participate if you do not meet the eligibility criteria as set forth in the Eligibility section below. By participating in Grimco's Grand Adventure (the “Promotion”), you and your eligible place of employment, as defined below, unconditionally accepts and agrees to comply with, and abide by these Official Rules and the decisions of Grimco, Inc. (the “Sponsor”) which shall be final and binding in all respects. The Promotion is subject to all applicable federal, state and local laws and regulations.

PURCHASE PERIOD and PROMOTION PERIOD: 

The Promotion begins at 12:00:01 AM Eastern Time (“ET”) on Monday, October 13th, 2025 and ends at 11:59:59 PM ET on Friday, October 31, 2025 (the “Promotion Period”). The Purchase Period begins at 12:00:01 AM Eastern Time (“ET”) on Monday October 13^th, 2025 and ends at 11:59:59 PM ET on Friday, October 24^th, 2025 (the “Purchase Period”). Sponsor’s computer is the official timekeeping device for this Sweepstakes. Participants will have until October 31, 2025 to enter their Unique Code to receive prizes.

ELIGIBILITY: Restricted to Trade. This Promotion is not open to the general public. The Promotion is only open to businesses and organizations with a use for sign supplies and sign printing equipment that are located in the 50 United States or the District of Columbia (“Eligible Businesses”). Entries must be submitted by an owner, officer or employee of an Eligible Business (the “Representative”) who is a legal resident of the 50 United States, including the District of Columbia, and age 21 or older. The Promotion is void in Puerto Rico, Guam, the U.S. Virgin Islands, outside the U.S., and wherever else prohibited by law. Employees of Sponsor and their respective subsidiaries, affiliates, vendors, advertising and promotion agencies, and the immediate family members (spouses, parents, children, and siblings and their spouses) of, and/or those living in the same household of each, are not eligible to enter. Sponsor reserves the right to verify eligibility of winners.

Representatives must have authority to participate in the Promotion or have obtained such authority from an employer or a co-worker with the power to grant such authority within the Eligible Business, prior to participation in the Promotion. By entering, each Representative acknowledges and agrees that his/her participation in the Promotion may be subject to, or prohibited or restricted by, his/her employer’s policies and regulations and that the Representative is solely responsible for review of, and compliance with, any such policies or regulations of his/her employer.

ENTRY: You will need a Unique Code to participate. There are two (2) ways to obtain a Unique Code:

1. With Purchase. Between October 13th, 2025, and October 24th, 2025 (the “Purchase Period”), for every $500 spent in an order on qualifying items (each, a “Qualifying Item”) from the Sponsor, customers will receive an email with a Unique Code when the Qualifying Item is shipped. Orders cannot be combined to reach the $500 threshold. Qualifying Items include all Briteline branded products, all Maxmetal branded products, all Duratex Polystyrene, all Duratex Cast Acrylic, all 3M™ branded products and all Rise Screen Solutions..
2. Scratch Off Tickets distributed at Random by the Sponsor. NO PURCHASE NECESSARY. Between October 13th, 2025, and October 24th, 2025, the Sponsor will distribute Scratch Offs containing Unique Codes at random. Customers do not need to make any purchase to receive these Scratch Off Tickets. The Scratch Off  Tickets can be used to enter the promotion. The Sponsor is responsible for the distribution of the Scratch Off Tickets, and all distributions are at the Sponsor's sole and absolute discretion. No Purchase Necessary Scratch Off tickets may be requested from any local Sponsor sales representative. The Sponsor is not responsible for lost, damaged, or illegible cards or codes.Unique Codes may not be transferred, duplicated, or shared. Unique Codes are null and void and will be rejected if not obtained in accordance with these Official Rules and through legitimate channels; or if any part of the Unique Code is determined by the Sponsor to be illegible, reproduced, counterfeited, mutilated, transferred, sold, exchanged, or tampered with in any way; or if any Unique Code and/or promotion-related materials contain printing, production, typographical, mechanical, or other errors. Unique Codes containing printing or other errors may be replaced with another Unique Code at the sole discretion of the Sponsor, while supplies last.

Unique Codes may not be transferred, duplicated, or shared. Unique Codes are null and void and will be rejected if not obtained in accordance with these Official Rules and through legitimate channels; or if any part of the Unique Code is determined by the Sponsor to be illegible, reproduced, counterfeited, mutilated, transferred, sold, exchanged, or tampered with in any way; or if any Unique Code and/or promotion-related materials contain printing, production, typographical, mechanical, or other errors. Unique Codes containing printing or other errors may be replaced with another Unique Code at the sole discretion of the Sponsor, while supplies last.

How to Enter: After receiving an email or Game Card with a Unique Code, visit  https://sweepstakes.grimco.com/grandadventure and follow the Entry instructions to provide the 12-digit Unique Code found on your email or Game Card and complete the Entry form in its entirety and submit it. By providing your Unique Code and completing the Entry form in its entirety and submitting it pursuant to the instructions on the Promotion Site, you will receive one (1) instant win game play (the “Entry”). After submitting the Entry form, you will then have the opportunity to play the Grimco Grand Adventure game (the “Game”). Follow the instructions to play the Game to find out if you are a potential winner. Limit: One (1) Entry per person per Unique Code. Entries must be received between 12:00:01 AM ET on Monday, October 13th, 2025 and 11:59:59 PM ET on Friday, October 31st, 2025. Entrants are subject to all notices posted online including but not limited to the Sponsor’s Privacy Policy, which can be found at https://www.grimco.com/info/PrivacyPolicy.

Entries become the property of the Sponsor and will not be acknowledged or returned. The Sponsor’s computer clock will be the official timekeeper for the Promotion. Incomplete Entry forms will not be accepted and are void. Participants must have a valid email address to enter and/or win. Multiple participants are not permitted to share the same email address. Any attempt by any participant to obtain more than the stated number of entries and/or plays by using multiple/different email addresses, identities, registrations and logins, or any other methods, will void that participant's entries/plays, and that participant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any Entry, the authorized account holder of the email address used to register will be deemed to be the participant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each Representative may be required to show proof of being the authorized account holder.

PRIZES/APPROXIMATE RETAIL VALUE (“ARV”)/ODDS: There are (4) Instant Win Grand Prizes, (6) Instant Win First Prizes and (140) Instant Win Second Prizes available to be won as listed below. Total maximum ARV of all Instant Win Prizes available to be won: $150,000 0 Limit: One (1) Instant Win Grand Prize or Instant Win First Prize per Eligible Business. If more than one (1) Representative from an Eligible Business is determined to be a potential winner, the Eligible Business is only eligible to receive the first Instant Win Grand Prize or Instant Win First Prize awarded and recorded, and all other prizes and winning game plays/entries are void. Odds of winning an Instant Win Grand Prize, Instant Win First Prize, or Instant Win Second Prize are dependent on the random winning time selected for each Prize available to be won, the number of participants in the Promotion, and the time and order in which any participant’s Entry is submitted and recorded. The number of all prizes available will diminish as they are awarded.

Instant Win Grand Prizes: There are four (4) Instant Win Grand Prizes available to be won. Each Instant Win Grand Prize winner will receive one (1) of the following four (4) prizes. The maximum ARV of each Instant Win Grand Prize is listed below. Contracts for these prizes must be signed for by dealership by December 12, 2025.

• Instant Win Grand Prize #1: One (1) Ford Maverick truck. ARV $30,000.
• Instant Win Grand Prize #2: One (1) Ford Maverick truck. ARV $30,000.
• Instant Win Grand Prize #3: One (1) Polaris Ranger. ARV $20,000.
• Instant Win Grand Prize #4: One (1) Polaris Ranger. ARV $20,000.

Instant Win First Prizes: There are six (6) Instant Win First Prizes available to be won. Each Instant Win First Prize winner will receive one (1) of the following six (6) prizes. The maximum ARV of each First Prize is $5,000.00. Prizes must be coordinated through Sponsor’s travel agent before December 12, 2025.

• Instant Win First Prize #1: One (1) vacation valued up to $5,000.
• Instant Win First Prize #2: One (1) vacation valued up to $5,000.
• Instant Win First Prize #3: One (1) vacation valued up to $5,000.
• Instant Win First Prize #4: One (1) vacation valued up to $5,000.
• Instant Win First Prize #5: One (1) vacation valued up to $5,000.
• Instant Win First Prize #6: One (1) vacation valued up to $5,000.

Instant Win Second Prizes: There are one hundred forty (140) Instant Win Second Prizes available to be won. Each Instant Win Second Prize winner will receive either one (1) Grimco travel mug or a $250 Grimco credit. All Instant Win Second Prizes will not be replaced if lost or stolen and are subject to the terms and conditions provided at the time of issuance. $250 Grimco Credits will expire on December 12, 2025. The tumblers must ship from the Sponsor by December 12, 2025. ARV of all Instant Win Second Prizes is $14,000.

INSTANT WIN GAME PRIZE SELECTION & NOTIFICATION: The Instant Win Grand Prizes, Instant Win First Prizes, and Instant Win Second Prizes will be awarded throughout the Promotion Period, pursuant to the process set forth herein. One hundred fifty (150) random, computer-generated winning dates and times, one for each Instant Win Prize available to be won, will be generated by the Sponsor prior to launch by the random, computer-generated winning dates and times for all prizes. At the time a participant submits his/her Entry, if such participant is the first eligible participant to receive an Entry at or after a computer-generated, randomly selected winning time, that participant will receive an on-screen notification alerting them that they are a potential winner of an Instant Win Prize. Non-winning entrants will also be notified on screen. Potential Instant Win Prize winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements in these Official Rules. All winning claims are subject to verification by the Sponsor, whose decisions are binding. Even if the Instant Win Game depicts that you are a winner, you are not a winner until your eligibility and the potential winning Instant Win Game play have been verified.

To claim your Instant Win Prize: If your business of employment is verified as an Eligible Business, you will receive an email to the email address submitted at the time of Entry within five (5) days of your potential win with instructions on how to claim your Instant Win Prize (the “Prize Claim Email”). Follow the instructions within the Prize Claim Email to download the Prize Claim Forms, including an Affidavit of Eligibility, a Liability Waiver, a Publicity Release and an IRS W-9 Form (collectively, the “Prize Claim Forms”). The owner or an employee of the Eligible Business with the authority to accept the Instant Win Prize on behalf of the Eligible Business must follow the instructions to send the completed Prize Claim Forms to the Sponsor within seven (7) days of when the Prize Claim Email is sent. IMPORTANT: The IRS W-9 Form will require including an Employer Identification Number for the sole purpose of tax reporting, as required by law. Winners of Instant Win Second Prizes will not need to complete or return the IRS W-9 Form or provide an Employer Identification Number.

Failure to comply with the prize claim instructions will result in disqualification, and the prize will be void. Once eligibility and Prize Claim Forms are verified, the prize will be awarded within 30 days. In the event that a prize notification or a prize is returned as undeliverable, or if a potential Instant Win Prize winner is found to be ineligible or is disqualified for any reason, Sponsor will award the applicable prize to an alternate Instant Win Prize winner selected by a random drawing from among all remaining eligible entries. Only one (1) alternate drawing will be held, after which any remaining Instant Win Prizes will remain un-awarded.

ALL POTENTIAL INSTANT WIN PRIZE WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. A PARTICIPANT IS NOT A WINNER OF ANY INSTANT WIN PRIZE UNLESS AND UNTIL PARTICIPANT’S ELIGIBILITY HAS BEEN VERIFIED.

PRIZE CONDITIONS: Limit one (1) Instant Win Grand Prize or one (1) Instant win First Prize per Eligible Business. Prizes are not redeemable for cash, assignable, transferable and may not be substituted except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value at its discretion. Any other incidental expenses related to prizes not specified herein are the winner’s sole responsibility.

SSponsor will not replace any lost or stolen prizes or components of a prize. Only the number of prizes stated in these Official Rules is available to be won in the Promotion. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, winners will be determined in a random drawing from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available.

Each merchandise prize shall be subject to its manufacturer’s standard warranty. No returns of prizes will be accepted unless the equipment is physically defective, in the Sponsor’s sole discretion, at the time of prize award.

Sponsor reserves the right to disqualify any Entry that Sponsor, in its sole and absolute discretion, deems to be duplicative (i.e. Eligible Business previously received a Unique Code for the same Qualifying Item(s)).

Winners are responsible for all federal, state, local and income taxes associated with winning prizes. Sponsor will issue IRS form 1099 as required by law. Participant is responsible for applicable income taxes per the IRS and associated form 1099.

Sponsor represents that they will be responsible for applicable transaction fees, including sales tax, registration fees, title fees, and license plate fees. Vehicle upgrades may be selected at Participant’s choice but Sponsor represents that only the ARV plus applicable transaction fees (as described above) will be paid, specifically excluding related income tax liability.

Sponsor is not responsible for Grand Prize lead times from respective Grand Prize Dealer Partner, lead times are approximate only.

Except where prohibited by law, Entry and acceptance of prize(s) constitute permission to use winner's business name, Representative’s name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.

GENERAL: Participating Eligible Businesses and Representatives agree to these Official Rules and the decisions of the Sponsor, and release the Sponsor, and their affiliated companies, and all other businesses involved in this Promotion, as well as the employees, officers, directors and agents of each (the “Released Parties”), from all claims and liability relating to their participation in the promotion, and the acceptance and use/misuse of the prizes offered. Participants assume all liability for and Released Parties shall be held harmless against any liability for any injury, losses or damages of any kind to persons and businesses, including personal injury or death, or injury to property caused or claimed to be caused in whole or in part, directly or indirectly, by participation in this Promotion, acceptance, possession, or use/misuse of the prize, or any claims based on publicity rights, defamation or invasion of privacy, or merchandise delivery. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Promotion or in the announcement of the prize.

The Released Parties are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of Entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive Entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the Promotion. By participating in the Promotion, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Promotion. Failure to comply with these official rules may result in disqualification from the Promotion.

Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor. If, for any reason, the Promotion cannot be run as planned, Sponsor may disqualify any suspect entries or individuals from the Promotion and any promotions it sponsors and (a) suspend the Promotion and modify the Promotion to address the impairment, then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; and/or (b) award the prizes at random from among the eligible, non-suspect entries received up to the time of the impairment.

THE RELEASED PARTIES ARE NOT RESPONSIBLE IF THIS PROMOTION CANNOT BE ADMINISTERED OR CONDUCTED OR ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS RESULTING OR ARISING FROM ACTS OF GOD, WAR, OR TERRORISM, CIVIL UNREST, STRIKES, SUPPLY SHORTAGES, NATURAL DISASTERS, WEATHER, EPIDEMICS, COMPLIANCE WITH ANY LAW OR ORDER OF A GOVERNMENTAL AUTHORITY, OR ANY OTHER SIMILAR ACT, EVENT, OR OCCURRENCE BEYOND THE REASONABLE CONTROL OF THE SPONSOR. BY PARTICIPATING IN THIS PROMOTION, PARTICIPANT AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS PROMOTION OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE, AS APPLICABLE. GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Missouri, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

DISPUTES: The parties hereto each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in St. Louis County, Missouri and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in St. Louis County, Missouri. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in St. Louis County, Missouri. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

PRIVACY: As a condition of entering the Promotion, each participant gives consent for Sponsor to obtain and deliver his or her name, address and other information to third parties, for the purpose of administering this Promotion and to comply with applicable laws, regulations and rules, including, without limitation, the storing of your personal information for purposes of complying with state record retention requirements. Any information entrant provides to Sponsor may be used to communicate with entrant in relation to this Promotion or on a Promotion winner’s list. Personal information collected from entrants are subject to the Sponsor’s Privacy Policy, which can be found at https://www.grimco.com/info/PrivacyPolicy.
